Thea maintains a corporate and commercial practice with a particular emphasis on transactional structuring, shareholder arrangements, intellectual property and regulatory compliance.
She regularly advises early-stage and growth companies on corporate formation, equity structuring, and financing arrangements.
Her work includes drafting and negotiating a wide range of commercial agreements, such as service agreements, assignment and novation instruments and share subscription agreements.
Thea also advises on broader company law matters, intellectual property matters and start-ups.

- Advising on and drafting a novation agreement effecting the substitution of parties under a complex asset purchase agreement.
- Drafting and advising on a shareholder agreement for a technology company, including provisions tailored to successive rounds of funding and investor rights.
- Advising a start-up on a range of commercial matters, including trademark protection, branding strategy, and software licensing arrangements.
- Drafting and advising on the shareholder agreement for a technology company and the rounds of funding.
- Advising shareholders on the negotiation of a bespoke shareholder agreement addressing corporate governance, share transfer restrictions, drag-along and tag-along rights, and dispute resolution mechanisms.
- Assisting with company incorporations and initial structuring for early-stage ventures.
- Advising a start-up on their commercial matters, trademark and computer software licensing.
